Open a Wyoming LLC as a Non-Resident: Costs, Benefits and Limits

A non-US resident can form and own a Wyoming LLC. The state filing fee is $100, and the annual report carries a license tax of at least $60. Those low state charges can make Wyoming a practical option for some remote founders. They do not make the company anonymous, automatically tax free, protected from every creditor, or guaranteed a US bank account.

The short answer: Wyoming deserves consideration when the founder has no stronger operating-state reason to form elsewhere and values a low minimum annual state charge. Choose it only after mapping where the business will actually operate, how it will be taxed, what the bank requires, and whether another state will demand a second registration.

“Foreign owner” and “foreign LLC” are not the same thing

A foreign owner is a person who lives outside the United States. A foreign LLC in Wyoming filing language is an entity created under another jurisdiction's law and later registered to do business in Wyoming. The two labels answer different questions.

If you file Wyoming Articles of Organization, the company is a Wyoming domestic LLC even when every member lives abroad. A Delaware LLC that later qualifies to do business in Wyoming is a Wyoming foreign LLC even when all of its members are US citizens. An entity created under the law of another country and then registered in Wyoming is also foreign to Wyoming, but it can have different federal beneficial-ownership consequences from a US-created LLC.

This distinction matters because opening a second company is not the automatic answer when an existing entity begins operating in Wyoming. Qualification, tax registration, licensing, and a new formation are different actions. The Wyoming Secretary of State says an out-of-state entity doing business in Wyoming must qualify, but whether a particular activity crosses that line is a legal question based on the facts.

What are the real advantages of a Wyoming LLC?

1. A low state formation fee and low minimum annual charge

The official Wyoming Articles of Organization and instructions list a $100 state filing fee. The annual report license tax is $60 or 0.0002 of assets located and employed in Wyoming, whichever is greater. An entity with no more than $300,000 of assets located and employed in Wyoming therefore pays the $60 minimum under the state's current formula.

That recurring state amount is lower than the current Delaware LLC annual tax and the Florida LLC annual-report fee. It is only one cost line. A registered-agent service, professional work, tax returns, licenses, optional records, payment processing, and registrations in other states are separate.

2. The initial filing does not demand a member list

Wyoming's standard Articles of Organization ask for the LLC name, registered agent, mailing address, principal office address, organizer signature and related filing information. They do not include a separate field that requires the filer to list every member merely to create the company. That can reduce the amount of ownership information on the initial formation document compared with a filing that expressly asks for managers or members.

It does not make the company anonymous. The registered agent, addresses, organizer name, business record, and available filing images create a public trail. The registered agent must also keep key-individual and communications-contact information, while the IRS, banks, payment providers, tax agencies, courts, and law enforcement can require ownership information under their own rules.

3. A developed LLC statute, including a charging-order rule

Wyoming Statute 17-29-503 allows a judgment creditor of a member or transferee to seek a charging order against that person's transferable interest and describes the charging-order section as the exclusive remedy for satisfying a judgment from that interest. This is one reason Wyoming appears in asset-protection comparisons.

That statute should not be marketed as a force field. It does not turn the LLC into insurance, erase a personal guarantee, protect a person from their own wrongdoing, prevent claims against the company for company obligations, or make fraudulent transfers effective. Courts, governing-law rules, the location of assets, recordkeeping, capitalization, contracts, and the owner's home jurisdiction all matter. A founder with material creditor exposure should get legal advice based on the specific assets and claims, not buy a formation package based on the phrase “bulletproof LLC.”

4. No current Wyoming individual or corporate income-tax rate

Wyoming's current legislative tax summary lists both the statewide individual and corporate income-tax rates at 0%. That is a state-level fact, not a universal tax exemption. A Wyoming LLC can still have US federal tax and information returns, sales and use tax, payroll obligations, property tax, industry fees, tax in another US state, and tax in an owner's country of residence. Federal classification also determines whether an LLC's income is treated on an owner, partnership, or corporate return.

What are the disadvantages of a Wyoming LLC?

  • A second-state registration may cancel the savings. If the business really operates in Florida, California, Texas, New York, or another state, it may need to qualify and maintain filings there as well as in Wyoming.
  • You still need a real Wyoming registered agent. A nonresident who does not live in Wyoming will normally pay a commercial agent. The agent's fee is separate from the $100 filing and $60 minimum annual tax.
  • The public record is not anonymous. Filed names and addresses can be searched or retrieved, and the agent must maintain contact information for key individuals.
  • Low state tax does not settle federal or international tax. Foreign-owned single-member LLCs can have specialized federal reporting even when they have little or no revenue.
  • Wyoming does not improve every bank or marketplace application. Providers decide which countries, addresses, activities, and ownership structures they accept.

When Wyoming's lower state cost is relevant

Wyoming's $60 minimum annual license tax can matter for a simple remote business when no other operating state controls the choice. It is not a reason to ignore a state where the company actually has people, property, inventory, an office, licensing, or sustained activity. It also does not replace Delaware-specific governance or financing reasons when those features genuinely matter.

The minimum state check is not the total cost of operating compliantly. Wyoming annual report: amount and due-date rule

The Wyoming Secretary of State's business FAQ says the annual report due date is based on the anniversary month of formation. If the LLC is formed on January 15, its report is due on January 1 each year. The rule follows the first day of the anniversary month, not the exact day of formation and not one statewide calendar deadline.

The annual license tax is the greater of $60 or 0.0002 of the company's assets located and employed in Wyoming. The report may be filed up to 120 days early. The state says an entity becomes subject to administrative dissolution if the report remains unfiled within 60 days after the due date. Calendar this separately from federal returns, Form 5472, bank reviews, and registered-agent renewal.

The registered-agent requirement is physical, not virtual

Every Wyoming LLC must continuously maintain a registered agent. Wyoming's official registered-agent guide says the agent may be an adult Wyoming resident or an authorized business entity and must have a physical Wyoming address. A P.O. box, drop box, mail-forwarding service, or UPS Store is not enough. The agent must consent to the appointment.

The registered office exists to receive service of process and official notices. It is not automatically the LLC's principal office, a bank-acceptable operating address, proof that work occurs in Wyoming, or a substitute for the owner's real residential address in identity checks. Is a Wyoming LLC anonymous?

No. Wyoming may require less ownership information on the initial Articles of Organization than some states, but “less on one form” is not the same as anonymity.

  • The official form requests the registered agent's name and physical address, the LLC's mailing and principal-office addresses, and the organizer's signature and printed name.
  • The Secretary of State offers an online business search and says filed documents can be retrieved from a business record when images are available.
  • A registered agent must keep information about key individuals and a natural-person communications contact for access when a state agency or law-enforcement authority needs to reach the business.
  • The IRS, banks, payment processors, marketplaces, tax agencies, and courts can separately request beneficial-owner and control information.

Use addresses deliberately and truthfully. Do not put a home address into an optional public field without understanding the exposure, but do not label a registered-agent address as a working office when it is not one. Privacy planning means controlling unnecessary disclosure while maintaining accurate records—not hiding the people who must be disclosed to lawful authorities and counterparties.

How to start a Wyoming LLC as a non-resident

  1. Map the operating states first. Identify where people work, inventory is stored, property is located, contracts are performed, and licenses are needed. Wyoming cannot prevent another state from applying its own qualification or tax rules.
  2. Choose the entity type as well as the state. An LLC is not a corporation. The IRS S corporation eligibility rules do not allow a nonresident alien shareholder, and an investor-backed business may need a C corporation instead.
  3. Check the Wyoming name. The name must be distinguishable in the state record and include an allowed LLC designator. State availability does not clear trademarks, domains, or marketplace names.
  4. Appoint a qualified registered agent. Obtain written consent and confirm the agent has the required physical Wyoming office.
  5. Plan the public addresses. Use the real mailing and principal-office information applicable to the company. Keep the registered office in its limited legal role.
  6. File Articles of Organization and pay $100. Wyoming provides online and paper routes. Processing time can vary; do not promise a bank, launch, or contract date based solely on a formation estimate.
  7. Adopt an operating agreement. Record ownership, management, contributions, distributions, voting, transfers, records, and wind-down rules. It is an internal governance document, not a substitute for filing the Articles.
  8. Apply for the EIN through the correct IRS route. The state does not issue the federal number.
  9. Build one consistent compliance file. Keep the filed Articles, operating agreement, EIN notice, ownership record, address evidence, invoices, contracts, and source documents aligned.
  10. Register where the activity requires it. Banking, sales tax, payroll, local permits, professional licenses, foreign qualification, and home-country reporting remain separate.

Can a non-resident get an EIN for a Wyoming LLC?

Yes. A responsible party who does not have and is ineligible to obtain an SSN or ITIN can still apply. The current IRS Instructions for Form SS-4 direct such an applicant to enter “foreign” or “N/A” on line 7b. The instructions also allow foreign mailing and street addresses and provide international telephone, fax, and mail routes when the applicant has no US legal residence, principal place of business, or principal office or agency.

Will a Wyoming LLC get a US bank account?

A Wyoming filing and EIN make a business-account application possible; they do not guarantee approval. Each bank or fintech applies its own country eligibility, identity verification, address, industry, ownership, substance, and risk rules. Some providers accept a remote owner, while others require a US address, US presence, additional documents, or an in-person visit.

No state, registered agent, CPA, attorney, or formation company can compel a provider to approve an account. Before filing, identify providers that currently accept the owner's country and business model, then prepare consistent formation, ownership, address, tax, and transaction records. Federal tax and Form 5472 do not disappear in Wyoming

An LLC is a state-law entity, not one fixed federal tax status. A single-member LLC is generally disregarded for federal income-tax purposes unless it elects corporate treatment; a multi-member LLC is generally a partnership unless it elects otherwise. The owner's residence, the business activity, US-source income, treaty position, elections, and transactions determine the actual federal and home-country consequences.

Under the current IRS Instructions for Form 5472, a reporting corporation generally files when it had a reportable transaction with a foreign or domestic related party. The definition includes a 25% foreign-owned US corporation and, for these limited reporting rules, a foreign-owned US disregarded entity. Forming in Wyoming does not automatically require Form 5472 for every LLC, but a foreign-owned disregarded entity with reportable transactions can be within the rule.

“No sales” is not the same as “no reportable transactions.” Owner contributions, distributions, formation payments, property use, and amounts paid or received for the entity may matter. Conversely, nationality alone is not enough to decide the filing. Review the classification, ownership, and actual transactions. Current BOI reporting rule for a Wyoming LLC

Under FinCEN's current rule, an entity created in the United States is exempt from federal BOI reporting. That includes a Wyoming-created LLC even when its only owner lives outside the United States. The owner's citizenship does not turn a domestic Wyoming LLC into an entity created under foreign-country law.

FinCEN's March 2025 rule announcement limits the current reporting-company definition to entities created under foreign-country law and registered to do business in a US state or Tribal jurisdiction, subject to exemptions. A non-US entity registering in Wyoming can therefore face a different result from a Wyoming LLC owned by a non-US person. When Wyoming fits—and when it does not

Wyoming can fit a remote consulting, software, e-commerce, or holding business when no other US state is the clear operating center, the parties want an LLC, and the lower state maintenance cost has real value. It can also be a rational domicile when counsel has evaluated its internal-governance and charging-order rules for the actual ownership and assets.

Wyoming often does not fit when the owner will operate from another US state, the company will have an office or employees elsewhere, inventory sits in another state, a professional license dictates the jurisdiction, a counterparty requires another structure, or institutional investors expect a Delaware corporation. A Wyoming LLC selling nationwide can still create sales-tax nexus and marketplace obligations outside Wyoming.

The most useful question is not “Which state has the best LLC?” It is: Which state leaves this particular company with the fewest unnecessary registrations while supporting its governance, banking, investor, tax, and compliance needs?
